• Make payments according to the agreed-upon schedule
• Ensure you have the rights to any content or materials you provide

3. Payment Terms

Payment terms will be specified in your Project Agreement. Unless otherwise stated:

• A deposit is required before work begins
• Invoices are due within 14 days of receipt
• Late payments may incur additional fees and/or work stoppage
• All fees are non-refundable unless otherwise specified

4. Intellectual Property

Our Work: Upon full payment, you will own the final deliverables created specifically for your project. We retain ownership of any pre-existing materials, frameworks, code libraries, and proprietary tools used in the development process.

Your Content: You retain ownership of all content, materials, and assets you provide. You grant us a license to use these materials for the purpose of completing your project.

Portfolio Rights: We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

5. Confidentiality

We will treat all information you provide as confidential and will not disclose it to third parties except as necessary to complete your project or as required by law. This does not apply to information that is publicly available or that you authorize us to share.

6. Project Changes

Changes to the project scope, timeline, or deliverables after the Project Agreement is signed may result in additional fees and timeline adjustments. All changes must be agreed upon in writing.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific results, including but not limited to search engine rankings, traffic levels, or conversion rates.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

To the maximum extent permitted by law, Belize Web Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or website.

Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Belize Web Consulting, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms or any Project Agreement
• Content or materials you provide that infringe on third-party rights
• Your use of the deliverables in a manner not authorized by us

10. Termination

Either party may terminate a project by providing written notice. If you terminate a project:

• You are responsible for payment for all work completed up to the termination date
• Deposits are non-refundable
• We will deliver any completed work upon receipt of final payment

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belize. Any disputes arising from these Terms or our services shall be resolved in the courts of Belize.

12. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the website
• Interfere with the proper functioning of the website
• Copy, reproduce, or distribute any content without permission
